
People's Health Centers
On January 1st, 2010, Hopewell joined the Betty Jean Kerr People’s Health Centers (BJK PHC) family of corporations as a sole member organization whose sole member is BJK PHC. At the same time, Dwayne Butler became the new CEO of Hopewell and BJK PHC assumed the administrative and financial management of Hopewell through a management agreement. Since this time, a number of exciting activities and projects have been implemented to begin the transition of Hopewell to its very bright future. Activities such as the 2 week “Psychiatric Blitz” which provided 2 weeks, in January, of 50 hours per week psychiatric coverage to address the backlog of patients needs. We have also implemented a productivity bonus program for the CPRC teams, intended to increase productivity and improve quality, and have increased the occurrence of “look behind” audits by 3 fold to insure quality. There have also been executive management changes which, along with the new programs and those to come, will usher Hopewell into financial stability and “gold standard” services for its consumers.
Relationship between Betty Jean Kerr People's HealthCenters (PHC) and Amanda Luckett Murphy Hopewell Center (Hopewell)
On January 1, 2010, Hopewell’s Articles of Incorporation were amended. That amendment resulted in Hopewell becoming a Missouri nonprofit corporation having members, with PHC as the sole member. Hopewell is now an affiliate of PHC and PHC has the power to appoint and remove members of the Hopewell Board of Directors. Hopewell is still the same corporation and remains a separate Missouri nonprofit corporation. Hopewell retains its status as an IRC Section 501(c)(3) charitable organization. Because Hopewell has remained a separate corporation, Hopewell continues to be solely liable for its debts and obligations. PHC has not assumed, nor does it have any liability for, Hopewell’s debts or obligations.
In addition, on October 14, 2009 and in anticipation of their affiliation, PHC and Hopewell executed an Interim Management Agreement under which PHC has been providing general financial management services to Hopewell. As of January 1, 2010, those services expanded to include the administrative management of Hopewell.
Hopewell remains an administrative agent of DMH.
